Terms of use

These terms are between you and Taksell, of 14 Bourdillon Road, Ikoyi, Lagos, Nigeria, which publishes and operates VendorNG at vendorng.com. Using the site means accepting them.

They cover everyone: someone searching the directory, a vendor with a listing, and a vendor who has bought a featured placement. Where a clause applies to only one of those, it says so.

VendorNG is a directory. It helps you find a vendor and gives you the contact details that vendor chose to publish. That is the whole of the service.

We are not a party to anything you agree with a vendor. We do not sell the goods, take your payment, hold your money, arrange delivery, or guarantee that an order arrives, arrives on time, or arrives as described. Any contract is between you and the vendor, and any dispute is between you and the vendor.

We check that a business looks real before we list it. That is a screening step, not a warranty about how the business will treat you. Take the ordinary care you would take with any seller you found online: agree what you are buying, agree the price, and keep a record.

Searching and browsing needs no account. What you may not do:

• —Scrape, harvest or bulk-copy the listings, or use an automated tool to do it.
• —Use the contact details you find here to send unsolicited marketing to vendors.
• —Try to break, overload or work around the site's security.
• —Copy the directory, in whole or in substantial part, to build a competing one.
• —Misrepresent yourself as VendorNG or as a vendor listed here.

If you want the data for research or a partnership, ask — get in touch. The answer is sometimes yes.

Listing is free. By submitting one you confirm that you are 18 or over, that you own or are authorised to represent the business, and that everything you have told us is true — including the contact details, which must be ones that actually reach you.

You give us permission to publish what you submit, and to show it in search results and link previews. You keep ownership of your logo, words and images; you are telling us you have the right to use them.

Every submission is reviewed by a person. We may publish it, ask you for a change, or decline it. We may also edit a listing for accuracy, formatting or category, or remove one that breaks these terms — and if we do, we tell you why. You can pause or delete your listing at any time by signing in.

Where you link a Taksell store, we read its public details to display them here. If that store is suspended or closed, the linked section stops showing.

Some of this is the law and some of it is our choice. Either way it does not go on the directory:

• —Anything illegal to sell in Nigeria, and anything requiring a licence you do not hold.
• —Weapons, controlled drugs, prescription medicines, and counterfeit or stolen goods.
• —Adult services, gambling, and anything sexual involving minors.
• —Financial schemes that pay returns out of new recruits' money, however they are branded.
• —Someone else's business, brand or images passed off as your own.
• —Listings created only to rank in search, with no real business behind them.
• —Anything that harasses, threatens or incites hatred against a person or group.

A verified badge means somebody at VendorNG checked that the business exists and that the details on the listing match it, on the date they checked.

It is not a statement about quality, reliability, delivery times, or how a vendor will handle your order. It is not a guarantee, and it is not insurance.

The badge is not for sale. It cannot be bought directly, bought as part of a placement, or obtained by advertising with us. We remove it when the details it was based on stop being true.

Vendors can buy a featured placement. Rates, slot counts and duration discounts are on the rate card, which is part of these terms for anyone who buys one.

What a placement does, precisely:

• —Puts your listing in a labelled band above the ordinary results, on the page you bought.
• —Runs for the days you paid for, in the context you chose.

What it does not do:

• —Change your position in the ordinary results, or anyone else's.
• —Remove a competitor, or stop them buying the next slot.
• —Earn a verified badge, or any favour in review.

If your listing is paused or suspended while a placement is running, the placement stops and we credit you for every day it did not serve. Renewal is opt-in and can be switched off from the same screen.

The site also carries Google ads. They are labelled, capped, and never shaped to look like a listing — but they are Google's content, not ours, and we do not endorse what appears in them.

The VendorNG name, design, code and the directory as a compiled whole belong to Taksell. Nothing here gives you a licence to reuse them.

What a vendor submits stays the vendor's. By submitting it, a vendor grants us a non-exclusive, worldwide, royalty-free licence to host, display and share it for the purpose of running the directory — and that licence ends when the listing comes down, except for copies already cached by search engines, which we do not control.

We try to keep the site up and the listings accurate. We do not promise either. The site is provided as it is, and we make no warranty that it will be uninterrupted, error-free, or that any particular listing is current.

To the fullest extent the law allows, we are not liable for lost profits, lost business, lost data, or any indirect or consequential loss, and we are not liable for anything arising out of your dealings with a vendor. Where we are liable despite this, our total liability to you is limited to the amount you have paid us in the twelve months before the claim — which for anyone who has not bought a placement is nothing.

Nothing here limits liability for death or personal injury caused by our negligence, for fraud, or for anything else the law does not allow us to limit. If you are a consumer, your statutory rights are unaffected.

You can stop using the site at any time, and delete your listing when you do.

We can suspend or remove a listing, or block access, if these terms are broken, if a listing turns out to be false, or if the law requires it. Where a paid placement is running, we refund the days it did not serve — unless the suspension is for fraud, in which case we do not.

We update these terms as the site changes. The effective date at the top moves when we do, and we email listed vendors about changes that affect them. Continuing to use the site after that means accepting the new version.

These terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Lagos State have jurisdiction over any dispute.

If you are a consumer resident elsewhere, this does not take away the protection of the mandatory consumer law of the country you live in.
